Effective Date
These Terms of Service are effective as of 11 October 2026 and apply to all users, customers, visitors, and entities that access or use Adyant One products, platforms, digital assets, consulting services, implementation deliverables, or support channels.
If you entered into a separate written agreement with Adyant One, that agreement may supersede these Terms only where both documents conflict. All non-conflicting clauses in these Terms remain enforceable.
By continuing to use the service on or after the Effective Date, you acknowledge that you have read, understood, and agreed to be bound by this document.
Acceptance of Terms
Your use of Adyant One constitutes a legally binding agreement between you and Adyant One. If you do not agree with any clause, you must discontinue use immediately.
- You represent that you are at least 18 years old or otherwise legally capable of entering into binding contracts.
- If you are accepting on behalf of an organization, you warrant that you have authority to bind that organization.
- Your acceptance occurs when you create an account, place an order, click “I agree,” sign a statement of work, or use any part of the service.
- Continued use after updates to these Terms constitutes renewed acceptance.
We may require explicit re-acceptance in the platform for material changes to legal rights, billing, or data use.
Services Overview
Adyant One provides digital services that may include software access, advisory support, implementation assistance, strategy, workflow automation, content operations, integrations, and related technical deliverables. Service scope depends on your plan, proposal, agreement, or statement of work.
Included service layers
- Platform access and account administration tooling.
- Project delivery support for approved implementation scopes.
- Operational reporting and communication via approved channels.
- Incident response and support windows based on subscription tier.
Exclusions (unless contracted)
- Third-party software fees, licenses, or vendor costs.
- Custom development beyond accepted scope documents.
- On-site staffing, legal review, or regulatory filing support.
- Guaranteed business outcomes unless expressly promised in writing.
We may improve, modify, replace, or discontinue portions of the service to maintain quality, reliability, compliance, and security.
Account Responsibilities
You are responsible for all activity that occurs under your account credentials, including actions by employees, contractors, or agents you authorize.
- Maintain accurate, current, and complete registration information and update it promptly when details change.
- Keep passwords, tokens, and authentication methods secure and confidential.
- Use strong access controls, role-based permissions, and reasonable internal governance.
- Notify Adyant One immediately at info@adyantone.com if you suspect unauthorized use or a security incident.
- Ensure your users comply with these Terms and applicable policies communicated by Adyant One.
- You remain solely responsible for all data you upload, provide, or transmit.
Acceptable Use
You agree to use the services lawfully and responsibly. The following acts are prohibited:
Security & platform abuse
- Attempting unauthorized access to systems, networks, APIs, or accounts.
- Disabling, probing, or bypassing security controls.
- Disrupting infrastructure through malware, scraping abuse, or denial-of-service activity.
- Reverse engineering where prohibited by law or contract.
Legal & content misuse
- Uploading illegal, infringing, defamatory, abusive, or deceptive content.
- Using services to violate privacy, data protection, or intellectual property laws.
- Misrepresenting identity, affiliation, or authority.
- Using outputs for unlawful surveillance, fraud, or malicious automation.
Adyant One may suspend or terminate accounts involved in prohibited conduct, with or without prior notice, where necessary to protect users, systems, or legal compliance.
Fees & Billing
Fees are defined by your subscription plan, proposal, statement of work, or invoice. All amounts are payable in the currency specified in your order documents unless otherwise agreed in writing.
- You authorize Adyant One and its payment processors to charge applicable fees using your selected payment method.
- Failure to pay may result in temporary suspension of access, delayed deliverables, or account termination.
- Disputed charges must be raised promptly with reasonable details to facilitate review and resolution.
Intellectual Property
All rights, title, and interest in the Adyant One platform, software, trademarks, branding, workflows, documentation, templates, methodologies, and proprietary know-how remain with Adyant One and its licensors.
- Subject to your compliance with these Terms, Adyant One grants a limited, non-exclusive, non-transferable, revocable right to use the services during your active subscription or contract period.
- You retain ownership of content and data you lawfully submit to the platform, subject to the license needed for Adyant One to operate and provide services.
- Unless explicitly assigned in writing, custom deliverables, frameworks, pre-existing modules, and reusable components remain the intellectual property of Adyant One.
- You may not copy, distribute, sublicense, resell, decompile, or commercially exploit service components except as permitted under a separate written agreement.
Any unauthorized use of intellectual property rights may result in immediate suspension and legal action.
Confidentiality
Each party may receive non-public information from the other party, including business, commercial, product, technical, financial, and operational information (“Confidential Information”).
Your obligations
- Use Confidential Information only for legitimate use of the services.
- Protect such information with reasonable administrative, technical, and organizational safeguards.
- Limit access to personnel with a need to know and confidentiality obligations.
- Do not disclose without prior written consent unless legally required.
Exceptions
- Information already publicly available without breach.
- Information lawfully received from a third party without confidentiality obligations.
- Information independently developed without use of protected material.
- Disclosures required by law, court order, or regulator after legal notice where permitted.
Limitation of Liability
To the maximum extent permitted by applicable law, Adyant One shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, business interruption, loss of goodwill, or loss of data.
Except where prohibited by law, Adyant One’s total aggregate liability under these Terms shall not exceed the amount paid by you to Adyant One for the services during the twelve (12) months preceding the claim.
- These limitations apply regardless of the legal theory, whether contract, tort, strict liability, or otherwise.
- Nothing in these Terms excludes liability that cannot be limited under applicable law.
- You acknowledge that pricing and service terms reflect this allocation of risk.
Indemnification
You agree to defend, indemnify, and hold harmless Adyant One, its affiliates, directors, officers, employees, partners, and agents from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms, policies, or applicable law.
- Your data, content, or materials submitted to the services.
- Your misuse of the services, outputs, or deliverables.
- Your infringement of any third-party rights, including intellectual property and privacy rights.
Adyant One may assume control of defense in matters subject to indemnification, and you agree to cooperate in good faith with any required defense strategy.
Termination
Either party may terminate service access or contractual engagement in accordance with the applicable order form, subscription plan, statement of work, or legal requirements.
Immediate termination grounds
- Material breach of these Terms not cured within the specified notice period.
- Serious security incidents, fraud, illegal conduct, or persistent policy violations.
- Non-payment beyond applicable grace period.
Effect of termination
- Your right to use affected services ends at termination effective date.
- Outstanding payment obligations remain enforceable.
- Data handling or export rights follow applicable agreement and legal obligations.
Governing Law (India)
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to applicable dispute resolution terms in any separate written agreement, courts of competent jurisdiction in India shall have exclusive jurisdiction over disputes arising from or related to these Terms and service use.
You agree to submit to such jurisdiction and venue and waive objections based on forum non conveniens to the extent permitted by law.
Changes to Terms
Adyant One may update these Terms from time to time for legal, regulatory, operational, product, or security reasons.
- Updates will be posted on this page with a revised Effective Date.
- Material changes may be communicated through account notice or email where reasonably possible.
- Your continued use after the revised Effective Date constitutes acceptance of updated Terms.
- If you do not agree to updated Terms, you must discontinue use of the services.
